Terms of Service

1. Acceptance of Terms

Welcome to VedaTrace. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VedaTrace ("we," "us," or "our") governing your access to and use of the VedaTrace platform, including our website, API, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" shall refer to such entity.

3. Account Registration and Responsibilities

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Service Description

VedaTrace is a cloud-based log observability platform that enables developers to collect, store, search, and analyze application logs. The Service includes:

  • Log ingestion via API
  • Log storage and retrieval
  • Log filtering and search capabilities
  • API key management
  • Organization/project management
  • Usage analytics and reporting
  • AI-powered log insights (where available)

5. API Keys and Access

The Service provides API keys for programmatic log ingestion. You agree to:

  • Keep API keys secure and not share them publicly
  • Use API keys only for legitimate log ingestion purposes
  • Accept responsibility for all requests made with your API keys
  • Revoke or regenerate compromised API keys immediately

We reserve the right to suspend or revoke API keys that violate these Terms or pose a security risk.

6. Subscription and Billing

The Service offers a free "Hobby" tier with limited features. We may offer additional paid tiers in the future. For paid subscriptions:

  • Billing cycles may be monthly or annual
  • Fees are non-refundable except as required by law
  • Prices are subject to change with 30 days' notice
  • You are responsible for providing accurate billing information
  • Failure to pay may result in service suspension or termination

7. User Content and Data Ownership

You retain full ownership of all log data, content, and information you submit to the Service ("User Content").

By submitting User Content, you grant us a limited, worldwide, non-exclusive license to process, store, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that you have all rights necessary to submit User Content and that such content does not violate any third-party rights or applicable laws.

8. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Submit illegal, harmful, threatening, abusive, or hateful content
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or store personal data about other users without their consent
  • Submit logs containing sensitive personal information (e.g., credit card numbers, social security numbers) unless properly encrypted
  • Use the Service for any illegal purpose or in a manner that could damage, disable, or impair the Service

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

9. Intellectual Property Rights

The Service, including its design, code, algorithms, and all intellectual property rights therein, are owned by VedaTrace and its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent.

The VedaTrace name, logo, and all related trademarks are property of VedaTrace.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEDATRACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

This limitation applies regardless of the theory of liability, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless VedaTrace and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your User Content
  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

We may terminate or suspend your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees (for paid tiers)
  • Illegal activity
  • Security concerns
  • Extended inactivity

Upon termination, your right to use the Service immediately ceases. You may delete your account at any time through your account settings.

14. Data Retention

We retain your User Content for as long as your account is active or as needed to provide you services. You may delete your logs or your entire account at any time.

After account deletion, we may retain certain information in anonymized form for analytics and improvement of the Service.

15. Third-Party Services

The Service may include integrations with third-party services (e.g., Cloudflare for hosting, Google/GitHub for authentication). We are not responsible for the practices or policies of these third parties.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

For users outside Ghana, we agree to resolve disputes through binding arbitration under the rules of the Ghana Arbitration Centre. Arbitration shall be conducted in English, and the seat of arbitration shall be Accra, Ghana.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

17. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" above.

Your continued use of the Service after such changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
